These Terms & Conditions (“Terms”) govern your use of the Scale Studio AI website and your engagement of our services.

Scale Studio AI (“Scale Studio”, “we”, “our”, or “us”) is operated by RPL Management Consultancy-FZCO, registered in Dubai, United Arab Emirates.

By accessing our website or engaging our services, you agree to these Terms.

1. Scope of Services

Scale Studio AI provides AI and automation consulting, design, implementation, and enablement services to business clients. Services may be delivered on a project basis, retainer basis, or a combination of both, as agreed in writing.

All services are governed by:

• A written proposal, statement of work (SOW), or retainer agreement; and

• These Terms.

In the event of any conflict, the written agreement governing the engagement will prevail.

Content on our website is provided for informational purposes only and does not constitute professional advice or a binding offer.

2. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information required for service delivery

• Ensure lawful use of any systems, workflows, or automations implemented

• Retain responsibility for business decisions made using AI-assisted outputs

• Ensure internal compliance with applicable laws, regulations, and policies

Scale Studio AI does not provide legal, financial, or regulatory advice unless explicitly agreed in writing.

3. Access to Client Systems & Credentials

Where required for service delivery, clients may grant Scale Studio AI access to systems, tools, or accounts.

• Access is limited strictly to the agreed scope of work

• Credentials are handled securely using access-controlled systems and password managers

• Credentials are not reused, shared, or retained beyond the engagement or agreed retainer period

• Access is removed, rotated, or deleted upon offboarding

Scale Studio AI is not responsible for pre-existing security issues, client misuse, or third-party system failures.

4. Artificial Intelligence & Automation Disclaimer

Scale Studio AI designs and implements AI-enabled and automated systems to support business operations. While we apply best practices, AI-assisted systems may produce variable results.

• Outputs are not guaranteed to be error-free

• Clients remain responsible for monitoring, validating, and approving outputs

• AI systems are intended to support, not replace, human judgement

No guarantee is made regarding specific business outcomes unless expressly stated in writing.

5. Intellectual Property

a. Scale Studio AI IP

Scale Studio AI retains all intellectual property rights in:

• Frameworks

• Templates

• Methodologies

• Reusable system components

• Know-how developed independently of a specific client

b. Client IP

Clients retain ownership of:

• Their data

• Their systems

• Their proprietary content

• Deliverables created specifically for the client, unless otherwise agreed

Where reusable frameworks or templates are used or adapted within a client engagement, Scale Studio AI retains ownership of those underlying components.

6. Payments

Fees, payment terms, and invoicing arrangements are defined in the applicable proposal, SOW, or retainer agreement.

Payments are processed via third-party payment providers. Scale Studio AI does not store or process payment card details directly.

7. Limitation of Liability

To the fullest extent permitted by law:

• Scale Studio AI shall not be liable for indirect, incidental, consequential, or special damages

• This includes loss of profits, revenue, data, or business opportunity

Our total liability arising out of or in connection with any engagement shall be limited to the fees paid to Scale Studio AI under that engagement, unless otherwise agreed in writing.

8. Third-Party Services

Services may involve third-party tools, platforms, or software selected by the client or used on the client’s behalf.

Scale Studio AI is not responsible for:

• Third-party service availability or performance

• Third-party terms, policies, or security practices

9. Termination

Either party may terminate an engagement in accordance with the applicable proposal, SOW, or retainer agreement.

Scale Studio AI reserves the right to suspend services where:

• Payment obligations are not met

• Continued delivery would breach law or regulation

• Client actions materially impair service delivery

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).

The courts of the DIFC shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

11. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on our website with a revised effective date.
